1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Financial Frontera LLC d/b/a Conecta ("Company," "we," "our," or "us") regarding your use of the Conecta platform and services.

By accessing or using Conecta, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the service.

2. Description of Service

Conecta is a growth platform designed specifically for tax professionals and accounting firms. Our services include:

  • Client relationship management and contact organization
  • Secure document storage and management
  • Workflow automation and task management
  • Team collaboration tools
  • Integration with tax preparation software
  • Communication tools for client interaction
  • Google Calendar integration for appointment and meeting management
  • Zoom integration for automatic video meeting creation for appointments
  • Social media integrations, including Facebook Page messaging, post scheduling, insights, and engagement management

3. Eligibility and Account Requirements

3.1 Age and Authorization

  • You must be at least 18 years old to use this service
  • You must have the authority to bind your business or organization to these Terms
  • You represent that you are a licensed tax professional or authorized to provide tax services

3.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate and complete information when creating your account
  • You must notify us immediately of any unauthorized use of your account

4. Subscription Terms and Billing

4.1 Subscription Plans

Conecta offers subscription-based services with monthly and annual billing options. Current pricing is available on our pricing page.

4.2 Billing and Payment

  • Subscriptions automatically renew unless cancelled before the renewal date
  • Payment is due in advance for each billing period
  • We accept major credit cards and other payment methods as specified
  • All fees are non-refundable

4.3 Refund Policy

All sales are final. No refunds.

By purchasing any service, subscription, or product from Conecta, you acknowledge and agree that all transactions are final and non-refundable. This policy applies to all subscriptions, SMS credits, Growth Roadmap services, and any other products or services offered by Conecta.

4.4 Price Changes

We reserve the right to modify subscription prices with 30 days' notice. Price changes will not affect your current billing period.

5. Acceptable Use Policy

5.1 Permitted Uses

  • Use the service for legitimate tax preparation and client management purposes
  • Comply with all applicable tax laws and regulations
  • Maintain the confidentiality of client information
  • Use the service in accordance with professional standards
  • Manage social media assets in accordance with the platform rules established by Meta Platforms, Inc.

5.2 Prohibited Uses

You agree not to:

  • Use the service for any unlawful purpose or in violation of any local, state, national, or international law
  • Violate any tax professional licensing requirements or regulations
  • Transmit any malicious code, viruses, or other harmful software
  • Attempt to gain unauthorized access to the service or related systems
  • Use the service to spam, harass, or abuse other users
  • Reverse engineer, decompile, or disassemble any part of the service
  • Share your account credentials with unauthorized users
  • Automate or simulate user interactions on Facebook assets in violation of the Facebook Platform Terms or Community Standards

6. Facebook Platform Usage

When you activate Facebook integrations inside Conecta you grant us permission to access specific Facebook Login scopes, including pages_manage_posts, pages_read_engagement, pages_read_user_content, pages_manage_metadata, pages_manage_engagement, pages_messaging, business_management, read_insights, email, and public_profile. We use these permissions solely to deliver the functionality you request.

6.1 Responsibilities

  • You represent that you have the authority to connect each Facebook Page, Instagram account, or Business Manager asset to Conecta.
  • You must comply at all times with the Meta Platform Terms, Facebook Community Standards, and any policies referenced therein.
  • You must inform your end users if you monitor, store, or act upon their Facebook communications via Conecta.

6.2 Permitted Actions

  • Send and receive Page messages and comments through Conecta on behalf of the Page that granted access
  • Create, schedule, edit, publish, and delete Page posts that you explicitly authorize
  • Retrieve insights, analytics, and engagement data for reporting within Conecta
  • Assign or restrict workspace users’ access to Facebook assets through Conecta’s role-based controls

6.3 Prohibited Actions

  • Resell or transfer Facebook access tokens to an unauthorized third party
  • Use Conecta to automate actions that mimic user behavior in ways prohibited by Meta’s policies
  • Store Facebook access tokens or exported data outside Conecta without equivalent security controls
  • Combine Facebook data with third-party datasets for profiling or advertising without explicit consent where required by law and Meta policy

6.4 Revocation and Data Deletion

  • You may revoke Conecta’s access through Facebook Settings > Business Integrations or Apps and Websites at any time.
  • Upon revocation we will invalidate remaining tokens and delete associated Facebook data according to our Privacy Policy.
  • You remain responsible for removing scheduled posts or queued automations before revocation to prevent unintended actions.

7. Zoom Platform Usage

When you activate Zoom integration inside Conecta you grant us permission to access specific Zoom OAuth scopes to create, update, and optionally delete Zoom meetings when users manage appointments inside our app. We use these permissions solely to deliver the functionality you request.

7.1 Responsibilities

  • You represent that you have the authority to connect each Zoom account to Conecta.
  • You must comply at all times with the Zoom Terms of Service, Zoom Privacy Statement, and any policies referenced therein.
  • You are responsible for ensuring that Zoom meetings created through Conecta comply with all applicable laws and regulations.

7.2 Permitted Actions

  • Create, update, and optionally delete Zoom meetings automatically when appointments are scheduled, rescheduled, or cancelled through Conecta
  • Store meeting identifiers (meeting ID, join URL, start URL, passcode) to display in booking details and send to clients
  • Assign or restrict workspace users' access to Zoom meeting functionality through Conecta's role-based controls

7.3 Prohibited Actions

  • Resell or transfer Zoom OAuth access tokens to an unauthorized third party
  • Use Conecta to access or store meeting content, recordings, or any data beyond meeting identifiers
  • Use Conecta to share Zoom data with third parties
  • Store Zoom OAuth tokens or exported data outside Conecta without equivalent security controls
  • Use Zoom APIs in ways that violate Zoom's terms of service or API usage policies

7.4 Data Handling

  • For each meeting, we store only the meeting ID, join URL, start URL, and passcode so we can display them in booking details and send them to clients
  • OAuth tokens and meeting metadata are stored securely on our servers, encrypted at rest
  • We do not access or store meeting content or recordings
  • We do not share any Zoom data with third parties

7.5 Revocation and Data Deletion

  • You may revoke Conecta's access through Zoom account settings or by disconnecting the integration in Conecta Settings → Integrations at any time.
  • Upon revocation we will invalidate remaining tokens and delete associated Zoom data according to our Privacy Policy.
  • You remain responsible for managing any scheduled meetings or queued meeting actions before revocation to prevent unintended actions.

8. Google Platform Usage

When you connect a Google account to Conecta, you authorize Conecta to access specific Google APIs only to provide the features you enable (such as booking availability checks, creating appointments, and managing Google Business Profile listings you connect).

8.1 Scopes We Request

  • https://www.googleapis.com/auth/calendar.events.freebusy — Used to check availability (free/busy time ranges) to prevent double-booking when someone books an appointment.
  • https://www.googleapis.com/auth/calendar.events — Used to create, update, and delete calendar events related to appointments scheduled through Conecta (for example: scheduling, rescheduling, or canceling an appointment you manage in Conecta).
  • https://www.googleapis.com/auth/business.manage — Used only when you connect Google Business Profile to manage the listings and related actions you request through Conecta.

8.2 How Conecta Uses Google Data

  • Availability checks use Google's FreeBusy functionality and return only busy time ranges, not full event contents.
  • Calendar event access is used to create and manage appointments you schedule through Conecta.
  • Conecta does not sell Google user data and does not use Google user data for advertising.

8.3 Revoking Access

You can revoke Conecta's access at any time in your Google Account settings. After revocation, Conecta will no longer be able to access Google data for that connection. You can also disconnect Google inside Conecta's settings.

Conecta's use of Google information is subject to the Google API Services User Data Policy, including the Limited Use requirements.

9. Data and Privacy

8.1 Data Ownership

You retain ownership of all client data and information you input into Conecta. We do not claim ownership of your data.

8.2 Data Security

  • We implement industry-standard security measures to protect your data
  • All data is encrypted in transit and at rest
  • Access to your data is restricted to authorized personnel only
  • We maintain organization-scoped data isolation

8.3 Data Retention

  • We retain your data for 6 months after account termination
  • You may request earlier deletion of your data
  • Some data may be retained longer to comply with legal obligations
  • We will provide data export capabilities upon request
  • Facebook-derived content, insights, and tokens are retained only for as long as needed to provide the integration features or to comply with legal requirements
  • Google Calendar data are retained only for as long as needed to provide the integration features or to comply with legal requirements
  • Zoom meeting identifiers and metadata are retained only for as long as needed to provide the integration features or to comply with legal requirements

10. Professional Liability and Disclaimers

9.1 Platform Disclaimer

Conecta is a technology platform that facilitates tax professional services. We do not provide tax advice, legal advice, or professional services.

9.2 Professional Responsibility

  • You are solely responsible for all tax advice and services provided to your clients
  • You must comply with all applicable professional standards and regulations
  • You are responsible for the accuracy and completeness of all data entered
  • You must maintain appropriate professional liability insurance

9.3 IRS Compliance

Users are responsible for compliance with all IRS requirements, including but not limited to:

  • IRS Publication 4557 (Safeguarding Taxpayer Data)
  • Circular 230 (Regulations Governing Practice Before the IRS)
  • All applicable federal and state tax laws and regulations

11. Limitation of Liability

To the maximum extent permitted by law:

  • Conecta is provided "as is" without warranties of any kind
  • Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, special, or consequential damages
  • We are not liable for any loss of data, profits, or business opportunities

12. Indemnification

You agree to indemnify and hold harmless Financial Frontera LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the service in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your professional services or advice provided to clients
  • Any third-party claims related to your use of the service

13. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting customer support.

12.2 Termination by Us

We may terminate or suspend your account immediately if you violate these Terms or engage in prohibited activities.

12.3 Effect of Termination

  • Your right to use the service ceases immediately
  • We will retain your data for 6 months as specified in our data retention policy
  • You may request data export before termination
  • Provisions that by their nature should survive termination will remain in effect

14. Intellectual Property

Conecta and its original content, features, and functionality are owned by Financial Frontera LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the service. Continued use of the service after changes constitutes acceptance of the new Terms.
